a municipal corporation ("City"), and Parametrix, Inc., ("Contractor")
RECITALS
between the City of San Rafael,
A. Whereas Master Consultant Services Agreement is hereby renamed Service Level Agreement;
and
B. The City and Contractor (as may be identified as "Consultant" in the original Agreement) have
entered into a Service Level Agreement ("Agreement") dated November 3, 2023 under which
Contractor has agreed to perform certain contract services for the City; and
C. Pursuant to the terms of the Agreement, the City wishes Contractor to perform certain tasks as set
forth in this Task Order, which constitute the Work;
NOW, THEREFORE, City and Contractor agree as follows:
AGREEMENT
1. Scope of services. Contractor shall provide any and all of the services set forth in Exhibit A of
this Task Order, for an amount not to exceed the Task Order Amount, identified above, as directed by the
City.
David Parisi shall be the Project Manager for Contractor for this Task Order. Additional contract services
may be performed by other Contractor staff with prior notice and approval by City.
a. City's duties. The City will:
(1) Determine the scope of services, as set forth in Exhibit A.
(2) Make available work plans and specifications and other City data related to the project,
including full information as to the City's requirements.
(3) Designate Eugelyn Lopez, or their designee as the person at the City responsible for
monitoring performance under this Task Order.
b. Contractor duties. The Contractor will:
(1) Provide and perform tasks identified in Exhibit A, Scope of Services.
(2) Provide miscellaneous services related to the Work and not stipulated elsewhere in this
Task Order, when requested by the City in writing. A Task Order Amendment is

required if these additional services cannot be performed within the Task Order budget.
2. Date of completion; Work hours estimate; Cost estimate and budget; Fee schedule: Costs are not -
to -exceed stated Task Order Amount in this Task Order. See Exhibit A for Work and fee schedule details.
Authorization to proceed.
The City will give Contractor authorization to proceed with the work specified in this Task Order only after
Contractor submits updated insurance certificates and endorsements, in accordance with the Agreement.
4. Service Level Agreement terms; Conflicts.
Except as expressly otherwise provided herein, all terms of the Agreement shall apply to Contractor in the
performance of work pursuant to this Task Order. If there is a conflict between this Task Order and the
Agreement, this Task Order shall control.
Amendment of Task Order: Conflicts.
Except as provided in Section 1(b)(2) above, this Task Order may not be modified except by an Amended
Task Order executed and approved in the same manner as the Task Order.
6. Signatures. The parties have executed this Task Order, as of the date first written above.

Update of Engineering & Traffic Surveys in Context of AB 43
Introduction
Parametrix is pleased to provide a workplan for performing a review and suggesting updates to the
City's recent draft Engineering & Traffic Survey (E&TS) report, accounting for recent provisions of
California Assembly Bill (AB) 43, which allow for greater local jurisdictional influence in establishment
of posted speed limits, as well as provisions of AB 321, which allow for reduced speed limits in
school zones when children are present.
The draft E&TS, performed by W-Trans, recommends speed limits based on data collected through
engineering reviews and speed surveys conducted along non -local roadways in the City. Based on
this information, the E&TS recommends speed limits based on an engineering method that utilizes
the 85th percentile speed, or the critical speed. However, recent legislation through AB 43 (2021)
and AB 321 (2011) increases local jurisdictional ability to establish speed limits that are aligned with
the intent and actual use of roadways. In particular, AB 43 directs local jurisdictions to account for
the safety of vulnerable road users, including children, seniors, persons with disabilities, and the
unhoused, when establishing speed limits.
Recognizing the strong relationship between vehicle speeds and crash outcomes for vulnerable road
users, this scope of work will study the potential to establish speed limits according to the provisions
of AB 43 and AB 321. The work would be comprised of tasks in a stepwise manner, with each task
building on the previous task, according to City roadway segments as follows:
• Downtown, focused on 4th Street, and a few other streets that may apply
Roadways near schools, senior housing facilities, and other high pedestrian -generating land
uses
• Other collector and arterial roadways, including Point San Pedro Road, Freitas Parkway, etc.
Task 1- Project Management and Implementation Strategy
Objectives
The objective of this task is to provide overall project management of the consultant contract with
City of San Rafael Public Works. This task includes general management functions that include the
following:
• Kick-off meeting - Attend virtual kick-off meeting to discuss scope of work, schedule, and
roles and responsibilities.
• Project Schedule Tracking - Establish project schedule within one week of project initiation
and track progress against schedule milestones throughout the project

Scope of Work
• Budget Tracking - Track the project budget using Parametrix in-house tools to verify that
progress is keeping pace with spending.
• Monthly design team meetings, including additional coordination meetings as necessary.
• Monthly invoicing - Prepare a monthly invoice for services performed by Parametrix.
• Correspondence - Prepare written correspondence as needed to document and coordinate
project management issues and/or concerns throughout the project.
As part of this task, Parametrix will develop an implementation strategy for integration of
recommended established speed limits as a result of this scope of work. This work will include
developing a description of two options for implementing speed limits (typically at once or staged),
and detailing strengths and weaknesses of both alternatives.
Parametrix will assist the City in liaising with integral stakeholders, including the Police Department,
school district, and others, in presenting the methodology and justification of engineering study
results in accordance with AB 43 provisions. Parametrix will develop maps with speed limit results
that overlay timing of speed limit sign changes and other communication materials that can be used
by the City for conveying study results and plan for implementation.
Deliverables
• Project schedule with key milestones, monthly invoicing
• Miscellaneous correspondence to document project management issues.
• Implementation strategy option description and strength/weakness table
• Implementation strategy maps and timing
Assumptions
• Budget assumes 12 progress update teleconference meetings after kick-off meeting.
Task 2 - Downtown San Rafael
The objective of this task is expand on the information contained in the draft E&TS and to explore
newly available tools to local jurisdictions when establishing speed limits in contexts applicable to
the downtown San Rafael setting. In particular, this task would analyze 4th Street, as well as up to 4
other roadways, and would account for the complexities involved in assessment of stretches of
roadways that do not meet the definition of "Business Activity District" but may meet other provisions
of AB 43 allowing for reduced speed limits depending on numerous characteristics. This task
consists of the following steps:
• Alignment with City on roadways for further speed limit analysis.
• Documentation of existing signed conditions, and results of the draft E&TS, last recorded
E&TS, and prior E&TS before the last.
• Identification of discrete roadway segments for conducting additional speed surveys, further
crash history analysis, or other further evaluation, and execution of these evaluations.
• Identification of roadway characteristics according to AB 43 and the California Vehicle Code
(CVC) Sections 22358.7, 22358.8, and 22358.9, to determine if appropriate lengths and

sections of the roadway are identified as being on the LRSP High Collision Network, adjacent
to high bicycle or pedestrian -generating land uses, have a lower previously -adopted speed
limit, or meets the definition of "Business Activity District."
• Based on these classifications, the lowest potential recommended speed limit in accordance
with AB 43 would be identified and mapped for consideration by the City.
• Discussion of roadway speed limit eligibility and results with City and enforcement personnel
• Results can be provided either as suggested edits for incorporation into the W-Trans E&TS
report, or summarized as updated results within a report for those roadway segments with
modified established speed limits.
• Presentation of results at a virtual stakeholder group meeting and at two public hearings.
• Support for and review of staff reports and associated resolution or ordinance language for
adoption of reduced speed limits.
Deliverables
• Spreadsheet of all collected data for analyzed roadway segments from the existing E&TS,
prior E&TS, AB 43-relevant information, and lowest recommended speed limits for downtown
roadways
• Draft written summary of downtown San Rafael AB 43 speed limit analysis results with maps;
final version produced after one set of non -contradictory comments received from City.
• Presentation deck of downtown San Rafael AB 43 speed limit analysis results with maps
Assumptions
• Budget assumes a total of 5 roadways reviewed for the downtown task.
• It is assumed that based on the stakeholder group meeting, there may be requests to revise
the recommended speed limits, which will be accommodated within the budget. At the public
hearings, it is assumed that there would not be requests to the report and recommendations;
if any changes are requested at public hearings, an additional fee may be required to
address them.
Task 3 - Roadways near Schools, Senior Housing Facilities, and
High Pedestrian -Generating Land Uses
Task Objectives
The objective of this task is to conduct a similar analysis as was performed in Task 1, with a focus on
land uses that generate high volumes of vulnerable road users. This task will start with identification
of relevant roadways for assessment within 1/4 mile of schools, senior housing facilities, and other
public -use facilities such as community centers and will also expand on the existing E&TS collected
information and assess AB 43 applicability to these roadways.
Bulleted discrete work steps for this task would be the same as those listed in Task 1, except that
this task does not include presentation of results at any public hearings.

• Budget does not include presentation of results at hearings, as assumptions is to combine
presentation of results from Task 2 and Task 3 within Task 3.
• It is assumed that based on the meetings there would be no request to review or revise any
of the recommendations in the report. If any changes are requested, an additional fee may
be required to address them.
Task 4 - Other Collector and Arterial Roadways
The objective of this task is to conduct a similar analysis as was performed in Tasks 1 and 2, with a
focus on collector and arterial roadways that were not identified for analysis in Tasks 1 and 2. This
task will start with identification of other relevant roadways for assessment such as Point San Pedro
Road, Manual T. Freitas Parkway, or others and will also expand on the existing E&TS collected
information and assess AB 43 applicability to these roadways.
Bulleted discrete work steps for this task would be the same as those listed in Task 1. This task
includes presentation of both Task 2 and Task 3 results at public hearings.
