City of San Rafael SERVICE LEVEL AGREEMENT DATED OCTOBER 12, 2024 WITH CONSOR NORTH AMERICA, INC. TASK ORDER NO. 136 Subject title: 390 Canal Pump Station Generator Replacement Task Order Amount: $60,800 THIS TASK ORDER is entered into on Oct 30, 2024 between the City of San Rafael, a municipal corporation ("City"), and Consor North America, Inc., ("Contractor"). RECITALS A. The City and Contractor (as may be identified as "Consultant" in the original Agreement) have entered into a Service Level Agreement ("Agreement") dated October 12, 2024 under which Contractor has agreed to perform certain contract services for the City; and B. Pursuant to the terms of the Agreement, the City wishes Contractor to perform certain tasks as set forth in this Task Order, which constitute the Work; NOW, THEREFORE, City and Contractor agree as follows: AGREEMENT I . Scope of services. Contractor shall provide any and all of the services set forth in Exhibit A of this Task Order, for an amount not to exceed the Task Order Amount, identified above, as directed by the City. Andrew Mitchell shall be the Project Manager for Contractor for this Task Order. Additional contract services may be performed by other Contractor staff with prior notice and approval by City. a. City's duties. The City will: (1) Determine the scope of services, as set forth in Exhibit A. (2) Make available work plans and specifications and other City data related to the project, including full information as to the City's requirements. (3) Designate Mariana Sanchez, or their designee as the person at the City responsible for monitoring performance under this Task Order. b.Contractor duties. The Contractor will: (1) Provide and perform tasks identified in Exhibit A, Scope of Services. (2) Provide miscellaneous services related to the Work and not stipulated elsewhere in this Task Order, when requested by the City in writing. A Task Order Amendment is required if these additional services cannot be performed within the Task Order budget. 2. Date of completion: Work hours estimate, Cost estimate and budget: Fee schedule: Costs are not - Rev. The City will give Contractor authorization to proceed with the work specified in this Task Order only after Contractor submits updated insurance certificates and endorsements, in accordance with the Agreement. 4. Service Level Agreement terrns: Conflicts. Except as expressly otherwise provided herein, all terms of the Agreement shall apply to Contractor in the performance of work pursuant to this Task Order. If there is a conflict between this Task Order and the Agreement, this Task Order shall control. 5. Amendment of Task Order; Conflicts. Except as provided in Section I(b)(2) above, this Task Order may not be modified except by an Amended Task Order executed and approved in the same manner as the Task Order. 6. SiLM1tu1'es. Andrew Mitchell, PE Senior Engineer 925-433-6815 Andrew.Mitchell@consoreng.com 390 CANAL PUMP STATION GENERATOR REPLACMENT PROJECT PROJECT UNDERSTANDING This scope of work is regarding the replacement of a pump station generator at 390 Canal in the City of San Rafael. Geotechnical investigation and recommendations will be necessary and the generator replacement will need design for the structural and electrical components. SCOPE OF WORK TASK 1: PROJECT MANAGEMENT This task involves project management activities including staff and budget management and invoicing. Task 1 Assumptions: • Project duration assumed to be six months Task 1 Deliverables: • Kickoff Meeting • Monthly Invoicing • Progress Reports • Monthly Status Meetings • Meeting agenda, summary, and action items as necessary TASK 2: GEOTECHNICAL INVESTIGATION Miller Pacific Engineering Group will perform a Geotechnical Investigation to explore subsurface conditions and develop geotechnical criteria for use in design and construction of the generator replacement. Our Phase 1 services will include: • Site reconnaissance to observe and document existing conditions within the proposed project area. • Reviewing published geologic mapping and geotechnical background information. This will include reviewing geotechnical reports from previous, nearby projects obtained from our in-house library and any provided documents. • Obtaining a soil boring permit from Marin County Environmental Health. • Coordinating with Underground Service Alert (USA) to mark underground utilities in areas where we plan to conduct subsurface exploration. • Subsurface exploration consisting of one boring drilled to a depth of about 10- to 15-feet below the ground surface. The boring will be located within the parking lot area adjacent to the pump station. We will push drill rods to firm materials (or to 65-feet of rod length) to estimate the thickness of the underlying bay mud materials. • Laboratory testing to characterize subsurface soils and aid in our geotechnical evaluation. • Engineering analyses to estimate potential future settlements, develop design -level geotechnical recommendations and design criteria related to the generator pad foundation design, and other geotechnical-related items. 2 1 P a g e In completing our Phase 1 services, we will prepare a Geotechnical Investigation letter report which summarizes the subsurface exploration and laboratory testing programs and geotechnical recommendations and design criteria. Task 2 Deliverables: • Geotechnical Investigation letter report. TASK 3: STRUCTURAL DESIGN SERVICES TJCAA will provide the design for the pump station generator concrete pad and equipment anchorage. Task 3 Assumptions: • TJCAA Structural will provide a draft 100% design package to the Client for the Client to comment on, and then a final design package incorporating Client's comments. • Draft 100% design package includes only design drawings. Drawings will be provided in half-size (11x17) PDF format and delivered via e-mail. • Final design package includes calculations and drawings in full-size (22x34) PDF format, electronically stamped and signed and delivered via e-mail. • TJCAA Structural engineers do not anticipate attending any project meetings or teleconference calls for project coordination. • Design documents for civil, mechanical, and other disciplines will be completed by the Client. • Design will comply with the requirements of the 2022 California Building Code. • Design fees quoted assume design and construction will be completed by 2024. • Drawings will be provided in TJCAA's standard format, developed using AutoCAD. • The title block will be provided by the Client in AutoCAD format suitable for use as a reference file. • Specifications will be provided in the drawings, as part of the general note sheets. • TJCAA assumes that geotechnical information is available for the project area and will be provided to TJCAA before commencement of the work. Task 3 Deliverables: • Draft 100% design package (11x17 PDF) • Final design package including calculations (22x34 PDF) TASK 4: ELECTRICAL DESIGN SERVICES TJCAA provide the design for the pump station generator electrical engineering design including design of a new automatic transfer switch (ATS) panel and wiring connections to existing equipment. Drawings and Specs will be electronically stamped, signed, and delivered via e-mail. • Drawings will be provided in TJCAA's standard format, developed using AutoCAD. Four Electrical drawings are budgeted. • Specifications will be provided using CSI standard 50-Division format. Nine electrical specifications are budgeted. • The title block will be provided by the Client in AutoCAD format suitable for use as a reference file. • No site plan is available for use in developing project drawings. As -built drawings and documentation is very limited and has been transmitted to TJCAA. • The new generator is Owner -furnished equipment for installation by the Contractor. • Existing connections to the SCADA system will be rewired to the new generator. • One site visit for two engineers is included in the project scope. • One virtual meeting to review the Draft 100% comments is included in the project scope. • Items NOT included in the project scope are air permitting; engineering support of civil, mechanical, instrumentation and controls design; surveying or mapping; arc -flash and power system studies; cybersecurity; and P&IDs. • Design fees quoted assume design will be completed by 2024. Task 4 Deliverables: • Draft 100% design package (11x17 PDF) • Final design package (22x34 PDF) TASK 5: SUPPLEMENTAL CONSULTATION AND PLAN REVIEW (OPTIONAL TASK) Miller Pacific Engineering Group will be available to consult with the project team to answer questions or provide supplemental recommendations as needed. Miller Pacific should review the project plans as they 4 1 P a g e near completion to confirm the intent of our recommendations has been sufficiently incorporated. They understand this phase will be authorized at a later date. TASK 6: CONSTRUCTION OBSERVATION AND TESTING (OPTIONAL TASK) During construction, Miller Pacific will visit the site intermittently to observe the Contractor's operations and test geotechnical portions of the work. They anticipate that they would observe and/or test trench backfill, generator pad preparation, foundation excavations for the generator pad, and other geotechnical items as requested. Upon satisfactory completion of the project, they will prepare a brief letter report documenting our observations and testing. They will also present our opinion regarding Contractor compliance with the geotechnical portion of the approved design plans and specifications. They understand this phase will be authorized at a later date. TASK 7: BIDDING ASSISTANCE (OPTIONAL TASK) Consor and TJCAA will be available to provide clarity and answer questions regarding the design during the bidding process. Task 7 Assumptions: • TJCAA Structural engineers will be available to answer any questions and clarify issues associated with aspects of the design within the scope of work. TJCAA Structural engineers do not anticipate any involvement in pre -bid meetings and/or site walk-through, or bid evaluations. However, TJCAA Structural engineers will be available for consultation on an as -needed basis. • Bid Services is not included in the project scope but is listed as an optional service. One virtual pre - bid meeting, responding to three questions, developing two addenda and conformed documents are budgeted. TASK 8: DESIGN SERVICE DURING CONSTRUCTION (OPTIONAL TASK) Consor and TJCAA will be available to respond to requests for information, review submittals, and provide design direction during the construction phase. Task 8 Assumptions: • TJCAA Structural engineers do not anticipate attending the pre -construction meeting and subsequent periodic construction meetings, and/or observational field visits. • TJCAA Structural engineers will provide written answers to Requests for Information (RFIs). For budgeting purposes, TJCAA Structural engineers have included three RFIs associated with the design elements within the scope of work. • TJCAA Structural engineers will review shop drawings and other materials that the contractor is required to submit in accordance with contract documents. For budgeting purposes, TJCAA Structural engineers have included five submittals associated with the design elements within the scope of work. 5 1 P a g e • Structural observations as required by the CBC is provided by others. Construction inspections, including but not limited to Special Inspections is provided by others. • All work is authorized and completed at the same time (e.g., equipment information and anchor point layout is provided one time, without revisions to provided information). • Engineering Support During Construction is not included in the project scope but is listed as an optional service. Reviewing five submittals, responding to three RFls, attending one site observation, and developing as -built documentation are budgeted. • ESDC fees quoted assume construction will begin and end in 2025. SCHEDULE We anticipate the kick-off meeting to occur two weeks after Task Order Approval by the City.
