Form SVS -101, dated September 15, 1942), attached hereto and
made a part hereof, the United States of America (herein called
the "Government") hereby offers to contribute to you for the main-
tenance and operation of your recreational facilities for servicemen
and industrial war workers for the period July 1, 1943 through
August 31, 194 and recreation facilities for servicemen for the
period September' 1, 1944 through June 30, 1945 the. aggregate sum of
$23,539, or such lesser sum as the Federal Works Administrator shall
determine to be sufficient, with other available funds, for the main-
tenance and operation of such facilities during such period.
All,payments made hereunder shall be deposited, promptly upon
the receipt thereof, in a separate acdount.or accounts (hereinafter

ollectively referred to as the "Contribution Account"). Unless
f otherwise required by law, the Contribution Account shall be set up
in a bank or banks which are members of the Federal Deposit Insurance
orporation. Moneys in the Contribution Account shall be expended
�3J only for the payment of the costs of maintaining and operating the
facilities herein described. during the -periods specified herein, and
in conformity with the Ia�Cest estimate thereof approved by the Government.
The 9ffer dated September 1, 1943 and the Amendatory Offer dated

previously accepted by you_au which_event_your acceptance of this

. 1. CONDITIONS OF GOJERMOENTIS- OBLIGATION.'- The United States of
America (hereinafter referred to as the "government") may elect to termi-
nate all or any of its obligations under these VAINTENANCE AND'OPERATION
TERMTS AND CONDITIONS and the Govorrmientls Offer for Maintenance and Opera-
tion (hereinafter- collectively referred to' as the "0ffer") 'to which they
appertain:
(a) Representations. -'If any representation of the offeree to whom
the Offer is made (hereinafter referred to as the ItApplicant") in its appli-
dation for a Federal contribution for'maintenance and operation, as amended
or supplemented (hereinafter referred to as the "Application"), or in any.
document submitted to the Government by the applicant, shall be incorrect or
incomplete in any material respect;
(b), Maintenance and Operation of Facilities. If the Applicant shall
fail to maintain and operate the facilities described in the Offer for the
purpose specified in the -application or as indicated in the Offer; or if the
Applicant,shall fail to apply or utilize the funds made available under the
Offer to or for such purpose or in compliance with the Offer; or if the Appli-
cant -shall fail otherwise in the performance or fulfillment of any of its
obligations to be performed or fulfilled under the Offer;
(c) Documents to be Submitted. - If the Applicant shall fail to submit
or cause to be submitted promptly to the Government such records,• statements,
reports, data, certificates, budgets, approvals, or other documents affecting
the maint.onaance or operation of the facilities described in the Offer or the
Governmentts contribution therefor as nay be requested by the Government;
(d) Bonus or Commission. - If it shall be determined by the Government
at any time that the Applicant has paid or agreed to pay, whether directly or
indirectly, a bonus, commission or fee to any person, firm or corporation for
attempting to procure an approval of the lipplication, or for alleged services
in procuring or in attempting to procure such approval, or for activities of
the nature commonly known as lobbying performed or agreed to be performed in
connection with the I,pplication.

not be obligated or liable Hereunder to any party other thin the Applica,nt4

missioner, shall be admitted to r -my share or part of the agreement or contract
resulting from the Applicant's( acceptance of the Offer or in any benefit iris•--
ing therefrom.
4. CONTRTBUTIO 0V_,NCES _'.ND P_`,YYENTS. The :applicant may requisition
advances or payments on account of t1he contribution provided in the; Offer at
air time after receipt of the Offer. but not later than six months following
th<= tcrmi na i -,ion on, o' the . ^eriod for whit'- the Government's contribution has
been made. Such requisitions shall be accompanied by such supporting data as
the Govcrnm.ent may require. ',f ter the l.ppiicant's acceptance of the Offer
and sub-ject to the provisions of the Offer, the Government will .honor. such
requisitions in amounts and at tiros decried by it to be proper to insure the
continuous maintenance and operation of the facilities in question and pay-
ment of the costs thereof. No request for review of a determination of the
Government affc.ct-J_ng the contribution -payable under the Offer will be con-
sidered unless such request is received by the Governm.eht not later than one.

5. REFUND OF SURPLUS P.'iVIKITS. - If the Goverment sh=:11 determine
that- axiy moneys advanced or paid to the ;,pplicant on account of the contribu-
tion stated in the Offer are in excess of the amount the Government is
obligated to p,�y thea:: under, the _`.pplic.-.t t shall promptly refund or repay
such excess or surplus moneys to the Government.
b. EKPENSES PR101R TO D.=TE OF OFFER. - In determining the amount,of
Federal assist :ante to be paid to the 'applicant under the Offer, the Government
will exclude from consideration all costs incurred by the _.pplicant prior to
the date o -f the Offer unless such costs have been included in the estimate of

We are forwarding herewith the Offer of the United States of
Amerioa3 to aid in financing the approved project in the above matter.
Our form (General Instructions) containing suggestions with reference
to the acceptance of the Offer is attached to such Offer. Such form
should be carefully considered prior to the preparation and 4Laoption
of the acceptance proceedin,7s. It is recuested that everything possible
be done to expedite the aceoptanea of the Offer and that we be notified
promptly of tha final action taken.
There are also enclosed four copies of our Acceptance Forms Noe.
L -119a and T_119b. If local procedure and laws permit such action, we
sugge9t that three copies of the orclosod Forms be used in preparing
and submitting to us throo sets of the acceptance proceedings. The
fourth cony of each of the Forms should be retained for your records
aazd files. The three extra copies of the Offer which are enclosod

ACCEPTANCE FORMS
General Instructions
I. The attached forms indicate the type of documents which
the Government requires to evidence the Applicant's ac-
ceptance of the Government's Offer. The acceptance
should conform to such local law as governs the enter-
ing into and the execution of agreements generally by
the Applicant, andthe procedure respecting such agree-
ments under the local law should be observed in accept-
ing the Offer.
2. Immediately upon the acceptance of the Government's
Offer, please submit to the Regional Director, Federal
Works Agency, "Attention: Regional Attorney," three
copies of the resolution or other proceeding adopted
by the Applicant's governing body accepting the Govern-
ment s Offer, duly certified. The Certificate of the
Recording Officer must be executed by the clerk, secre-
tary, or other officer authorized to authenticate and
certify legal documents.
3. Each copy of the acceptance document should have at-
tached thereto a copy of the Offer with the applicable
terms and conditions made a part of such Offer.
4. Where an approval or permit from another body other
than the governing body of the Offeree is necessary to
complete the acceptance of the Offer, three certified
copies of such approval or permit should be forwarded.
