RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE A GENERAL SERVICE
AGREEMENT WITH XANTRION, INC., FOR INFORMATION TECHNOLOGY SERVICES
FROM NOVEMBER 1, 2025, THROUGH OCTOBER 31, 2026, IN AN AMOUNT NOT TO
EXCEED $1,207,200
WHEREAS, the City of San Rafael requires ongoing technical assistance with the
administration and support of its technology systems in order to maintain their operational
effectiveness and respond to departments’ requests for services (“information technology
services”); and
WHEREAS, Xantrion, Inc. (“Xantrion”) is an experienced provider of managed information
technology services and has successfully been providing such services to the City for the past six
years; and Xantrion is willing to continue to provide information technology services to the City;
and
WHEREAS, pursuant to San Rafael Municipal Code Section 2.55.100.D, professional
services are exempt from competitive bidding; and
WHEREAS, the City desires to enter into a renewed agreement with Xantrion to provide
information technology services to the City for a one-year term beginning November 1, 2025, and
ending October 31, 2026; and
WHEREAS, City funds in the amount of $1,207,200 are budgeted and available for
expenditure in the FY 2025-26 Technology Fund.
NOW, THEREFORE BE IT RESOLVED, that the City Council hereby authorizes the City
Manager to execute a General Service Agreement with Xantrion, Inc., for information technology
services from November 1, 2025 through October 31, 2026 in an amount not to exceed
$1,207,200 covered in Fiscal Year 2025-26, with the remainder pending approval for Fiscal Year
2026-27, in the form included with the Staff Report for the City Council’s October 6, 2025 regular
meeting, subject to final approval as to form by the City Attorney.

Resolution was duly and regularly introduced and adopted at a regular meeting of the San Rafael
City Council held on Monday, the 6th day of October 2025, by the following vote:

NOES: Councilmembers: None
