SUBJECT: APPOINTMENT OF FIRE CHIEF CHRISTOPHER GRAY TO THE NEW MERA
EXECUTIVE BOARD AND CHIEF OF POLICE DIANA BISHOP TO THE NEWLY
NAMED MERA GOVERNING BOARD. LIEUTENANT RALPH PATA TO REMAIN AS
ALTERNATE TO CHIEF BISHOP
RECOMMENDATION: Appoint Fire Chief Christopher Gray to the new MERA Executive Board
and Chief of Police Diana Bishop to the newly named MERA Governing Board. Lieutenant
Ralph Pata to continue as Alternate to Chief Bishop on the Governing Board.
BACKGROUND: Periodically, the City is asked to review the Board representation to Marin
Emergency Radio Authority (MERA) Joint Powers Authority (JPA). Currently, Fire Chief
Christopher Gray serves as the City of San Rafael representative on the Board of Directors, with
Lieutenant Ralph Pata serving as alternate.
In June, 2012 an amendment was made to the JPA which retains MERA Governing Board's
ultimate control over the Authority while providing for the delegation of day-to-day operations to
an Executive Board in accordance with the Governing Board's Annual Budget and Work Plan.
The intention of the proposed New Governance Structure is to maintain final authority with the
Governing Board while streamlining and improving operations and eliminating redundancy of
effort, which is the case with the current relationship between the Executive Committee and
Board. A special meeting of the Governing Board can be convened by the President or by
written request of any three Board members to review Executive Board actions if needed (See
attached Exhibit 1).
MERA has requested that the City of San Rafael appoint a representative to the new Executive
Board as well as maintain a representative on the newly named Governing Board. Staff's
recommendation fulfills that request and maintains an alternate to the Governing Board.

Governance Work Group with input from the Finance, Outreach and Executive
Committees since February 2011 to -date, as directed by the K4E8A Board on [>cccnohcr

Tnvony and Special Districts, which is similar to the composition of the current Executive
Committee.
