AGREEMENT FOR PROFESSIONAL SERVICES
This First Amendment to Agreement for Professional Services is made and entered into this
1 st day of January, 2015, by and between the CITY OF SAN RAFAEL (hereinafter "CITY"), and
CARLA HANSEN (hereinafter "CONTRACTOR").
RECITALS
WHEREAS, CITY, on behalf of all the members of the Marin County Council of Mayors
and Councilmembers ("MCCMC"), and CONTRACTOR have entered into an Agreement for
Professional Services dated January 1, 2014 (the "Agreement"), pursuant to which
CONTRACTOR agreed to provide legislative analysis services to and for MCCMC; and
WHEREAS, the term of the Agreement will expire on December 31, 2014, but may be
extended pursuant to section 5 of the Agreement; and
WHEREAS, CITY and CONTRACTOR wish to extend the term of the Agreement for
another one (1) year period on the same terms.
AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
1. EXTENSION OF AGREEMENT.
The Agreement is hereby extended by one (1) year commencing on January 1, 2015 and
ending on December 31, 2015. The Duties of Contractor, Duties of City, Compensation, and all
other terms of the Agreement shall remain unchanged during the extended term of the Agreement.
2. INSURANCE AND INDEMNIFICATION.
The rights, obligations, and requirements of Sections 10 and 11 of the Agreement,
concerning insurance and indemnification respectively, are hereby reaffirmed and shall continue to
apply during the extended term of the Agreement.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the day, month
and year first above written.
