RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN
RAFAEL ACCEPTING PROPOSAL FROM HARRIS & ASSOCIATES
FOR DESIGN AND PREPARATION OF PLANS AND SPECIFICATIONS
FOR FIFTH AVENUE BICYCLE/PEDESTRIAN PATHWAY PROJECT,
AND AUTHORIZING THE PUBLIC WORKS DIRECTOR TO EXECUTE
THE AGREEMENT IN AN AMOUNT NOT TO EXCEED $57,000.
WHEREAS, on March 1, 2004 City Council adopted Resolution No.
11511 authorizing a request for funds for the above-mentioned project from the
Metropolitan Transportation Commission (MTC); and
WHEREAS, MTC has awarded the City $207,710 for this project; and
WHEREAS, staff has determined the need for professional services for the
design and preparation of design plans and specifications for this project; and
WHEREAS, staff finds the content and cost of the proposal at $51,286 to
be acceptable and within industry standards and have added approximately 10% for design
contingencies for a total amount of $57,000;
NOW, THEREFORE, BE IT RESOLVED that the City of San Rafael
accepts the proposal from Harris & Associates for engineering services for the Fifth
Avenue Bicycle/Pedestrian Pathway Project and authorizes the Public Works Director to
execute an Agreement in a form approved by the City Attorney, in an amount not to
exceed $57,000.

and all such actions and make changes as may be necessary to accomplish the purpose of
this Resolution.

AGREEMENT FOR PROFESSIONAL SERVICES
FOR FIFTH AVENUE BICYCLE/PEDESTRIAN PATHWAY PROJECT
This Agreement is made and entered into this 4`h day of April, 2005, by and between the
CITY OF SAN RAFAEL (hereinafter "CITY"), and HARRIS & ASSOCIATES (hereinafter
"CONSULTANT").
RECITALS
WHEREAS, the CITY has determined that civil engineering consulting services are
required to design and prepare plans and specifications for the Fifth Avenue Bicycle/Pedestrian
Pathway Project (hereinafter "PROJECT"); and
WHEREAS, on March 1, 2004, the City Council adopted Resolution No. 11511
authorizing a request for funds for the above-mentioned Project; and
WHEREAS, Metropolitan Transportation Commission (MTC) has awarded the City
$207,710 for this Project; and
WHEREAS, staff has worked closely with Harris & Associates to define the scope of
services in connection with this Project; and
WHEREAS, staff finds that the cost of the proposal is within industry standards; and
WHEREAS, the CONSULTANT has offered to render certain specialized professional
services in connection with this Project.
AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
1. PROJECT COORDINATION
A. CITY. The City Manager shall be the representative of the CITY for all purposes
under this Agreement. The City Engineer is hereby designated the PROJECT MANAGER for
the CITY, and said PROJECT MANAGER shall supervise all aspects of the progress and
execution of this Agreement.
B. CONSULTANT. CONSULTANT shall assign a single PROJECT DIRECTOR to
have overall responsibility for the progress and execution of this Agreement for CONSULTANT.
RUSSELL MOORE is hereby designated as the PROJECT DIRECTOR for CONSULTANT.
Should circumstances or conditions subsequent to the execution of this Agreement require a
substitute PROJECT DIRECTOR for any reason, the CONSULTANT shall notify the CITY
within ten (10) business days of the substitution.
2. DUTIES OF CONSULTANT
CONSULTANT shall perform the duties and/or provide services as follows; the
CONSULTANT agrees to provide the professional services outlined in the Proposal from the
CONSULTANT, dated February 23, 2005, marked Exhibit "A", attached hereto and incorporated
herein by this reference. The CONSULTANT agrees to be available and perform the work
specified in this agreement in the time frame as specified and as shown in Exhibit "A".
3. DUTIES OF THE CITY
CITY shall pay the CONSULTANT as provided in Paragraph 4, and shall perform the
duties required of the CITY as described in Exhibit "A".
4. COMPENSATION
For the full performance of the services described herein by CONSULTANT, CITY shall
pay CONSULTANT on a time and materials basis for services rendered in accordance with the
rates shown on the current fee schedule as described in Exhibit "A" attached and incorporated
herein. The total payment made for any individual work task will not exceed the amounts shown
on the Proposal Budget, set out in Exhibit "A", and the total amount paid under this Agreement
shall not exceed $57,000.
Payment will be made monthly within 30 days of receipt by PROJECT MANAGER of
itemized invoices submitted by CONSULTANT.
5. TERM OF AGREEMENT
The term of this Agreement shall be from the date of execution until the Project is
complete.
6. TERMINATION
A. Discretionary. Either party may terminate this Agreement without cause upon
thirty (30) days written notice mailed or personally delivered to the other party.
B. Cause. Either party may terminate this Agreement for cause upon ten (10) days
written notice mailed or personally delivered to the other party, and the notified party's failure to
cure or correct the cause of the termination notice, to the reasonable satisfaction of the party
giving such notice, within thirty (30) days of the receipt of said notice.
C. Effect of Termination. Upon receipt of notice of termination, neither party shall
incur additional obligations under any provision of this Agreement without the prior written
consent of the other.
D. Return of Documents. Upon termination, any and all CITY documents or
materials provided to CONSULTANT and any and all of CONSULTANT's documents and

materials prepared for or relating to the performance of its duties under this Agreement, shall be
delivered to CITY as soon as possible, but not later than thirty (30) days after termination.
7. OWNERSHIP OF DOCUMENTS
The written documents and materials prepared by the CONSULTANT in connection with
the performance of its duties under this Agreement, shall be the sole property of CITY. CITY
may use said property for any purpose, including projects not contemplated by this Agreement.
CONSULTANT shall not be liable for unauthorized reuse of documents and materials.
8. INSPECTION AND AUDIT
Upon reasonable notice, CONSULTANT shall make available to CITY, or its agent, for
inspection and audit, all documents and materials maintained by CONSULTANT in connection
with its performance of its duties under this Agreement. CONSULTANT shall fully cooperate
with CITY or its agent in any such audit or inspection.
9. ASSIGNABILITY
Except for the surveying services to be performed for CONSULTANT by its
subcontractor, Chaudhary & Associates, Inc., as specified in Exhibit "A", the parties agree that
they shall not assign or transfer any interest in this Agreement nor the performance of any of their
respective obligations hereunder, without the prior written consent of the other party, and any
attempt to so assign this Agreement or any rights, duties or obligations arising hereunder shall be
void and of no effect.
10. INSURANCE
A. During the term of this Agreement, CONSULTANT, shall maintain, at no
expense to CITY, the following insurance policies:
1. A commercial general liability insurance policy in the minimum amount of
one million ($1,000,000) dollars per occurrence for death, bodily injury, personal injury, or
property damage.
2. An automobile liability (owned, non -owned, and hired vehicles) insurance
policy in the minimum amount of one million ($1,000,000) dollars per occurrence.
3. If any licensed professional performs any of the services required to be
performed under this Agreement, a professional liability insurance policy in the minimum
amount of one million ($1,000,000) dollars to cover any claims arising out of the
CONSULTANT's performance of services under this Agreement.
B. The insurance coverage required of the CONSULTANT by Section 10. A., shall
also meet the following requirements:

I . The insurance shall be primary with respect to any insurance or coverage
maintained by CITY and shall not call upon CITY's insurance or coverage for any contribution.
2. Except for professional liability insurance, the insurance policies shall be
endorsed for contractual liability and personal injury.
3. Except for professional liability insurance, the insurance policies shall be
specifically endorsed to include the CITY, its officers, agents, and employees as additionally
named insureds under the policies.
4. CONSULTANT shall provide to PROJECT MANAGER, (a) Certificates
of Insurance evidencing the insurance coverage required herein, and (b) specific endorsements
naming CITY, its officers, agents and employees, as additional insureds under the policies.
5. The insurance policies shall provide that the insurance carrier shall not
cancel, terminate or otherwise modify the terms and conditions of said insurance policies except
upon thirty (30) days written notice to CITY's PROJECT MANAGER.
6. If the insurance is written on a Claims Made Form, then, following
termination of this Agreement, said insurance coverage shall survive for a period of not less than
five years.
7. The insurance policies shall provide for a retroactive date of placement
coinciding with the effective date of this Agreement.
8. The insurance shall be approved as to form and sufficiency by PROJECT
MANAGER and the City Attorney.
C. If it employs any person, CONSULTANT shall maintain worker's compensation
and employer's liability insurance, as required by the State Labor Code and other applicable laws
and regulations, and as necessary to protect both CONSULTANT and CITY against all liability
for injuries to CONSULTANT's officers and employees.
D. Any deductibles or self-insured retentions in CONSULTANT's insurance policies
must be declared to and approved by the PROJECT MANAGER and the City Attorney. At
CITY's option, the deductibles or self-insured retentions with respect to CITY shall be reduced or
eliminated to CITY's satisfaction, or CONSULTANT shall procure a bond guaranteeing payment
of losses and related investigations, claims administration, attorney's fees and defense expenses.
11. INDEMNIFICATION
CONSULTANT shall indemnify, release, defend and hold harmless CITY, its officers,
and employees, against any claims, demands, suits, judgments, losses, liability or expense,
including reasonable attorney's fees, arising out of or resulting in any way, in whole or in part,
from any negligent acts or omissions, of CONSULTANT or CONSULTANT's officers, agents
and employees in the performance of their duties and obligations under this Agreement.

12. NONDISCRIMINATION
CONSULTANT shall not discriminate, in any way, against any person on the basis of
age, sex, race, color, religion, ancestry, national origin or disability in connection with or related
to the performance of its duties and obligations under this Agreement.
13. COMPLIANCE WITH ALL LAWS
CONSULTANT shall observe and comply with all applicable federal, state and local
laws, ordinances, codes and regulations, in the performance of its duties and obligations under
this Agreement. CONSULTANT shall perform all services under this Agreement in accordance
with these laws, ordinances, codes and regulations. CONSULTANT shall release, defend,
indemnify and hold harmless CITY, its officers, agents and employees from any and all damages,
liabilities, penalties, fines and all other consequences from any noncompliance or violation of
any laws, ordinance, codes or regulations.
14. NO THIRD PARTY BENEFICIARIES
CITY and CONSULTANT do not intend, by any provision of this Agreement, to create in
any third party, any benefit or right owed by one party, under the terms and conditions of this
Agreement, to the other party.
15. NOTICES
All notices and other communications required or permitted to be given under this
Agreement, including any notice of change of address, shall be in writing and given by personal
delivery, or deposited with the United States Postal Service, postage prepaid, addressed to the
parties intended to be notified. Notice shall be deemed given as of the date of personal delivery,
or if mailed, upon the date of deposit with the United States Postal Service. Notice shall be given

16. INDEPENDENT CONTRACTOR
For the purposes, and for the duration, of this Agreement, CONSULTANT, its officers,
agents and employees shall act in the capacity of an Independent Contractor, and not as
employees of the CITY. CONSULTANT and CITY expressly intend and agree that the status of
CONSULTANT, its officers, agents and employees be that of an Independent Contractor and not
that of an employee of CITY.
17. ENTIRE AGREEMENT -- AMENDMENTS
A. The terms and conditions of this Agreement, all exhibits attached, and all
documents expressly incorporated by reference, represent the entire Agreement of the parties
with respect to the subject matter of this Agreement.
B. This written Agreement shall supersede any and all prior agreements, oral or
written, regarding the subject matter between the CONSULTANT and the CITY.
C. No other agreement, promise or statement, written or oral, relating to the subject
matter of this Agreement, shall be valid or binding, except by way of a written amendment to this
Agreement.
D. The terms and conditions of this Agreement shall not be altered or modified
except by a written amendment to this Agreement signed by the CONSULTANT and the CITY.
E. If any conflicts arise between the terms and conditions of this Agreement, and the
terms and conditions of the attached exhibits or the documents expressly incorporated by
reference, the terms and conditions of this Agreement shall control.
18. SET-OFF AGAINST DEBTS
CONSULTANT agrees that CITY may deduct from any payment due to CONSULTANT
under this Agreement, any monies which CONSULTANT owes CITY under any ordinance,
agreement, contract or resolution for any unpaid taxes, fees, licenses, assessments, unpaid checks
or other amounts.
19. WAIVERS
The waiver by either party of any breach or violation of any term, covenant or condition
of this Agreement, or of any ordinance, law or regulation, shall not be deemed to be a waiver of
any other term, covenant, condition, ordinance, law or regulation, or of any subsequent breach or
violation of the same or other term, covenant, condition, ordinance, law or regulation. The
subsequent acceptance by either party of any fee, performance, or other consideration which may
become due or owing under this Agreement, shall not be deemed to be a waiver of any preceding
breach or violation by the other party of any term, condition, covenant of this Agreement or any
applicable law, ordinance or regulation.

20. COSTS AND ATTORNEY'S FEES
The prevailing party in any action brought to enforce the terms and conditions of this
Agreement, or arising out of the performance of this Agreement, may recover its reasonable costs
(including claims administration) and attorney's fees expended in connection with such action.
21. CITY BUSINESS LICENSE/OTHER TAXES
CONSULTANT shall obtain and maintain during the duration of this Agreement, a CITY
business license as required by the San Rafael Municipal Code. CONSULTANT shall pay any
and all state and federal taxes and any other applicable taxes. CONSULTANT's taxpayer
identification number is 94-2385238, and CONSULTANT certifies under penalty of perjury that
said taxpayer identification number is correct.
22. APPLICABLE LAW
The laws of the State of California shall govern this Agreement.

hazard" unless you are required to
provide such coverage for the
additional insured by a written
contract or written agreement in effect
during this policy period and signed
and executed by you prior to the loss
for which coverage is sought and then
only for the period of time required
by such contract or agreement and in
no event beyond the expiration date of
the policy.
3. Subpart (1)(a) of the Pollution exclusion
(Section I — Coverages, part 2. f. of the
Commercial General Liability Coverage form)
does not apply to you if the "bodily injury" or
"property damage" arises out of "your work"
performed on premises which are owned or
rented by the additional insured at the time
"your work" is performed.
4. Any coverage provided by this endorsement to
an additional insured shall be excess over any
other valid and collectible insurance available
to the additional insured whether primary,
excess, contingent or on any other basis unless
a written contract or written agreement in
effect during this policy period and signed and
executed by you prior to the loss for which
coverage is sought specifically requires that
this insurance apply on a primary or non-
contributory basis.
5. As a condition of coverage, each additional
insured must:
a) Give us prompt written notice of any
"occurrence" or offense which may
result in a claim and prompt written
notice of "suit".

b) Immediately forward all legal papers to us,
cooperate in the defense of any actions,
and otherwise comply with policy
conditions.
c) Tender the defense and indemnity of any
claim or "suit' to any other insurer which
also insures against a loss we cover under
this endorsement. This includes, but is not
limited to, any insurer which has issued a
policy of insurance in which the additional
insured qualifies as an insured. For

purposes of this requirement, the term
"insures against" refers to any self-

Fifth Avenue Bicycle/Pedestrian Pathway Project
SCOPE OF WORK
I. PROJECT DESCRIPTION
Fifth Avenue, a two lane residential street, serves as a major route for Sun Valley Elementary School,
located on the corner of Fifth Avenue and Happy Lane. An increase in its use is anticipated after the
completion of a proposed residential development near the west end of Fifth Avenue. The purpose of this
project is to increase safety for children, pedestrians and bicyclists and also, promote students to walk and
bike to school as highly encouraged by the residents, schools, and local pedestrian/bicycle organizations.
The proposed improvements include street widening, installing new sidewalks, installing bike pavement
delineation and installing additional signage.
The project limits, which are shown in Exhibit B, begin from H Street and end at Happy Lane. The
project is comprised of two components, which are described below.
Section 1. Happy Lane to California Avenue, L ~1,350 ft
This section varies in width from 27 feet to 34 feet. From Happy Lane to 365 feet west of California,
along the north side of the street is a 4 -foot asphalt concrete path, which is defined by a white stripe at the
edge. This condition poses potential danger to children and pedestrians, as striping is a substandard
means to separate pedestrians from vehicular traffic. For this 950 -foot section, the project will remove
the existing ac pathway and increase the street width to 34 feet. In addition, a new 6 -foot sidewalk with
curb and gutter, to serve as a modified Class I bike path, will be installed to allow for both pedestrian and
bicycle usage. Existing front yards of approximately 10 homes will be impacted by these improvements
as these residents have encroached into the public right-of-way with landscaping, fences, walls and other
facilities. Also, based on the limited budget available, it is assumed that the segment of this road crossing
an existing creek will not be widened in order to avoid higher costs associated with design and
construction of required creek modifications for the widening, such as geotechnical evaluation, retaining
wall construction, culvert extension and/or other creek embankment enhancements. For the remaining
365 -foot section west of California Avenue, the existing 4 -foot concrete sidewalk will be replaced with a
6 -foot wide sidewalk.
Some of the tasks required for this portion of the project include:
(a) coordination with the residents
(b) demolition and removal of existing improvements within public right of way to accommodate the
new sidewalk and widened street
(c) installing ADA ramps at street crossings
(d) installing striping for crosswalks
(e) installing signage
Section 2. California Avenue to H Street, L-=3,585 ft
This street portion is 40 feet wide and will be improved by incorporating a Class III bike route with the
installation of shoulder striping and signage to both sides of the street.

II. APPROACH
Harris will be responsible for the design of the new pedestrianibicycle pathway and street widening in
compliance with Caltrans, ADA, Marin County and City Standards. Our surveyor subconsultant will
provide surveying services to obtain topographic and locate the existing right-of-way to supplement the
City's base maps.
At the early stage of design, Harris will prepare preliminary plans and a cost estimate to determine if the
proposed project costs are within the City's available budget. Harris will work with the City on the
coordination with the residents for front yard impacts and modifications. Harris will proceed with
preparation of final construction documents after all design issues have been resolved.

Surveying:
Perform field surveys to provide the Design Engineer adequate topographic information to design
street widening and sidewalk improvements as described on Exhibit A.
Limits of survey work shall be as shown on attached map: Fifth Avenue between California Avenue
and Happy Lane. Note that Section 2 (as described on Exhibit A) will not require survey work.
The field survey shall incorporate the following requirements:
North Side of the street (from street centerline to 20 feet behind the edge of pavement)
• Locate all curbs, gutters, sidewalks, driveways, HC ramps, and visible utility features (valves,
water meters, cleanouts, manholes, inlets, vaults, poles, etc.)
• Locate all trees, buildings, walls, fences, or other structures
• Obtain rim and invert elevations for storm drain manholes and inlets.
• Topographic survey at minimum 25' intervals (street crown, lip of gutter, flowline and top of
curb, edge of pavement, and back of walk) to adequately describe the existing ground
topography of the site
• Locate existing right-of-way, which will entail researching existing records and field tying to
property corners/street monuments
South Side of the street
• Obtain top of curb, flowline and lip of gutter at minimum 25' intervals
• Locate existing right-of-way, which will entail researching existing records and field tying to
property corners/street monuments
Other requirements
• Incorporate survey information into AutoCAD Release 2000 files, with line work as required to
make complete planimetric maps, using the standards specified in Exhibit 1.
• Supply to Harris one copy each of the AutoCAD files (on diskette), one plotted (1 "=20') copy of
each file, and copies of field notes, drawings, etc., prepared as part of this work.
• The City currently has planimetric base sheets with limited topography. The work described
herein will be used to supplement the City's base sheets. This scope shall include
coordinating with City of Surveyor to ensure that CAD files are on City standard coordinate
system and vertical datum.

This endorsement modifies insurance provided under the following:

COMMERCIAL GENERAL LIABILITY COVERAGE PART
WHO IS AN INSURED — (Section II) is
amended to include as an additional insured
any person or organization you are required to
add as an additional insured under this policy
in a written contract or written agreement in
effect during this policy period and signed and
executed by you prior to the loss for which
coverage is sought. The person or
organization does not qualify as an additional
insured with respect to the independent acts or
omissions of such person or organization. The
person or organization is only an additional
insured with respect to liability for "bodily
injury", "property damage" or "personal and
advertising injury" caused by "your work"
performed under the written contract or written
agreement.
The insurance provided to the additional
insured is limited as follows:
a) This endorsement shall not increase
the limits stated in Section III —
LIMITS OF INSURANCE.
b) The insurance provided to the
additional insured does not apply to
"bodily injury", "property damage",
or "personal and advertising injury"
arising out of an architect's,
engineer's or surveyor's rendering of
or failure to render any professional
services including:
I. The preparing, approving or
failing to prepare or approve
maps, shop drawings,
opinions, reports, surveys,
field orders, change orders,
or drawings and
specifications: and
II. Supervisory or inspection
activities performed as part
of any related architectural
or engineering activities.
c) This insurance does not apply to
"bodily injury: or "property damage"
caused by "your work" included in
the "products -completed operations
hazard" unless you are required to
provide such coverage for the
additional insured by a written
contract or written agreement in effect
during this policy period and signed
and executed by you prior to the loss
for which coverage is sought.
3. Subpart (1)(a) of the Pollution exclusion
(Section I — Coverages, part 2. f. of the
Commercial General Liability Coverage form)
does not apply to you if the "bodily injury" or
"property damage" arises out of "your work"
performed on premises which are owned or
rented by the additional insured at the time
"your work" is performed.
4. Any coverage provided by this endorsement to
an additional insured shall be excess over any
other valid and collectible insurance available
to the additional insured whether primary,
excess, contingent or on any other basis unless
a written contract or written agreement in
effect during this policy period and signed and
executed by you prior to the loss for which
coverage is sought specifically requires that
this insurance apply on a primary or non-
contributory basis.
5. As a condition of coverage, each additional
insured must:
a) Give us prompt written notice of any
"occurrence" or offense which may
result in a claim and prompt written
notice of "suit".

b) Immediately forward all legal papers to us,
cooperate in the defense of any actions,
and otherwise comply with policy
conditions.
c) Tender the defense and indemnity of any
claim or "suit" to any other insurer which
also insures against a loss we cover under
this endorsement. This includes, but is not
limited to, any insurer which has issued a
policy of insurance in which the additional
insured qualifies as an insured. For
Atlantic Specialty Insurance Company
purposes of this requirement, the term
"insures against" refers to any self-
insurance and to any insurer which issued a
policy of insurance that may provide
coverage for the loss, regardless of whether
the additional insured has actually
requested that the insurer provide the
additional insured with a defense and/or
indemnity under that policy of insurance.
d) Agree to make available any other
insurance that the additional insured has for
a loss we cover under this endorsement.

that person or organization qualifies as an "insured" under the Who Is An Insured Provision contained in Section 11

Subject to all other terms and provisions of the policy, such insurance as provided by this endorsement shall be
deemed primary, but only with respect to work performed by or for the named insured in connection with the above
described contract. Any other insurance maintained by the Additional Insured(s) shall be excess and non-
contributory.
