A RESOLUTION AUTHORIZING THE SIGNING OF A
CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf of
the City of San Rafael, a contract, lease or agreement with
THE CITIES AND THE COUNTY OF MARIN TO ENGAGE CONSULTING SERVICES
FOR A MASTER CATV AGREEMENT
a copy of which is hereby attached and by this reference made a part
hereof.

JOINT POWERS AGREEMENT BETWEEN THE CITIES AND
TOWNS OF MARIN COUNTY AND THE COUNTY OF MARIN
TO ENGAGE CONSULTING SERVICES FOR MASTER
CATV AGREEMENT
THIS AGREEMENT, made and entered into this ,S";rtr day
of _�. ,,,�/ 1982, by and between each city and
town in Marin County and the County of Marin, as set forth in
Exhibit "A", hereinafter referred to as the "Parties", is for the
purpose of engaging professional consulting services to formulate
a master agreement with Viacom Cablevision, hereinafter referred
to as "Viacom" for all the Parties, with Viacom serving as
franchisee in the provision of cable television, hereinafter
referred to as "CATV".
WITNESSETH:
WHEREAS, it is in the mutual interest of the Parties
hereto to have expert and professional consulting services,
knowledgeable in the field of CATV, to perform analysis of existing
and availabl LB

agreement for franchisee to provide said services on
a countywide basis;
NOW, THEREFORE, the parties do agree as follows:
ENABLING AUTHORITY
This Joint Powers Agreement is entered into by the
Parties referenced herein pursuant to the provisions of the
California Government Code Sections 6500 et seq. This Agreement,
however, shall not be intended nor construed by the Parties or by
any outside parties as creating a new or separate entity.
PURPOSES AND SCOPE
This Agreement shall enable the Parties to execute the
necessary documents, or to authorize their execution by a designee
of the Parties, with C.T.I.C. Associates to perform professional
consultation in tasks including but not limited to the following:
1. Examine and analyze all existing CATV franchises
and agreements to which each of the Parties is a signator.
2. Evaluation and analysis of all existing, physical
CATV equipment throughout the County of Marin to asess the equip-
ment's viability for current cable technology, accommodation of
fire and police safety systems and other relevant functions of
business, government and cultural activities.
3. Review present CATV technology and present in
written and oral form a thorough report on state-of-the-art
technology in cable television and how same might be effected
throughout Marin County. Such report shall be presented orally to
City Managers and the Marin County Council of Mayors and Council -
members.
4. Development of a master franchise CATV agreement
between the Parties hereto and Viacom to resolve issues concern-
ing citizen complaints, rate setting procedures, uniformity of
service and related issues.
PAYMENT
The Parties hereto agree that no monetary contribution
shall be required; the intent of this Agreement shall be to engage
the described consulting services for the described work with
reimbursement or payment to be provided by Viacom.
TERM OF AGREEMENT
This Agreement to engage professional CATV consulting
services shall commence with complete execution of this contract
and shall terminate upon completion of said services; however,
nothing shall prevent a majority of the Parties herein from
terminating or extending this Agreement.
ADMINISTRATION
All coordination and administration of the provisions
of this Agreement shall be the responsibility of the City Manager
of the City of San Rafael, except as the same may be delegated
from time to time. The responsibilities of administration shall
include liaison and coordination with C.T.I.C. Associates and

management and monitoring of the agreement with said consulting
firm. Additionally, the responsibilities shall include regular
and ongoing communication with all Parties hereto. All Parties
agree to provide cooperation and the necessary assistance to
effect the purposes of this Agreement, including personnel and use
of public property.

into this Agreement the day and year first above written.
