RESOLUTION NO. 6245
A RESOLUTION AUTHORIZING THE SIGNING OF A
CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf of
the City of San Rafael, a contract, lease or agreement with
WILLIAM HAMILTON & ASSOCIATES
TO CONDUCT AN ANALYSIS OF TOP MANAGEMENT CLASSIFICATION AND
COMPENSATION FOR THE CITY OF SAN RAFAEL
a copy of which is hereby attached and by this reference made a part
hereof.
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael, hereby
certify that the foregoing resolution was duly and regularly intro-
duced and adopted at a Regular meeting of the City Council of said
City held on Monday the lst day of February
19 82 , by the following vote, to wit:

AGREEMENT FOR PROFESSIONAL SERVICES FOR
A POSITION CLASSIFICATION AND SALARY STUDY
THIS AGREEMENT is made and entered into this first
day of February , 1982, by and between the City of San
Rafael., a municipal corporation ("CITY", hereafter), and William
Hamilton & Associ.ates ("WHA", hereafter). The parties hereto do
agree to the following:
1. CITY and WHA shall enter into an Agreement for
professional services for the completion of a position classification
and salary study by WHA.
2. SCOPE OF WORK. WHA shall complete the study in the
manner and according to those methods set forth in its prcposal,
attacred hereto and incorporated herein, as so fully set forth,
Exhibit "A"
3. TIME FOR COMPLETION. WHA shEll complete said study
within forty-five (45) days following execution of this Agreement.
4. FEE AND PAYMENT SCHEDULE. CITY shall pay WHA the
sum of $4,800.00 in two (2) equal installments as set forth in
Exhibit "A" at page 9.
5. TERMINATION.
CITY shall retain the right to terminate
this Agreement at any time prior to completion without cause and
shall not be obligated for any payment balance.
G. COOPERATION CLAUSE. CITY shall cooperate and provide
reasonable assistance in scheduling relevant staff members for
interviews and gathering of data and information.
7. INDEPENDENT CONTRACTOR STATUS. WHA is an independent
contra.ctcr and shall not be deemed directly or indirectly to be an
officer or an employee of CITY. WHA shall comply with any pertinent
locF1, state or federal statutory or case law requirements.
8. AMED;DMENTS. This Agreement may be modified as
follows: Minor, non -substantive amendments or revisions shall be
approved through the mutual agreement of the parties' designees;
substantive revisions shall be approved in writing only by the
parties.
IN WITNESS WHEREOF, the parties have caused their
authorized representatives to execute this Agreement the day and
year first above written.
