SUBJECT: A RESOLUTION ACCEPTING A PROPOSAL FROM ECONOLITE
CONTROL PRODUCTS, INC. FOR THE PROCUREMENT OF TRAFFIC SIGNAL
EQUIPMENT IN THE AMOUNT OF $128,683.31, WAIVING COMPETITIVE BIDDING
PURSUANT TO SAN RAFAEL MUNICIPAL CODE SECTION 11.50.090(B), AND
AUTHORIZING THE PUBLIC WORKS DIRECTOR TO EXECUTE A PURCHASE
AGREEMENT IN A FORM APPROVED BY THE CITY ATTORNEY.
RECOMMENDATION:
Adopt resolution.
BACKGROUND:
Many of the traffic signal controllers and cabinets located within the City of San Rafael are
outdated and obsolete. Repair parts and services for these controllers are no longer provided and
if they were to malfunction in the field, there are no replacement controllers or other means to
repair them. The Public Works Department proposes to upgrade 9 of these controllers and
cabinets to current products and standards which will be covered under maintenance and service
repair agreements with the manufacturer. The controllers and cabinets to be removed can then
be used as spares for the remainder of the outdated controllers still located in the field, until they
too can be replaced. The 9 intersection proposed to be upgraded include:
• Mission Street and Irwin Street
• Third Street and Irwin Street
• Third Street and Hetherton Street
• Third Street and B Street
• Third Street and C Street
• Third Street and D Street
• Fourth Street and Irwin Street
• Fourth Street and Lincoln Avenue
• N. San Pedro Road and Los Ranchitos Road

These 9 intersections were chosen out of the 86 signals in the City due to the high amount of
daily traffic through the intersections and regional importance.
In order to proceed with this project, the City must purchase certain signal -related equipment
which the selected contractor will then install for use. This equipment must be compatible with
the City's current traffic control system to guarantee that the traffic control system will function
with the greatest efficiency and with the least amount of technical malfunction. For many years,
the City has been using the most recent technology to operate and monitor traffic operation
including signal controllers and cabinets.
Econolite Control Product Inc.'s equipment has been used citywide for over 40 years. The
company has not only consistently provided efficient and reliable equipment but has also
provided the City with fair prices and outstanding customer service.
ANALYSIS:
The City's traffic signal management system is an Econolite Control Product Inc. system, which
requires that all new equipment be compatible with the system. Econolite Control Product Inc. is
the only source of these products. Accordingly, this purchase would qualify as a "sole source"
procurement exempted from the City's bidding requirements pursuant to Municipal Code section
11.50.090. In July 2009, City Council allocated $200,000 from the 2009/2010 Capital
Improvement Project budget for this project. Purchase of the equipment will be $128,683.31 and
the remainder ($71,316.69) will be used for installation and required improvements.
FISCAL IMPACT:
This project will utilize $200,000 of unallocated gas tax money from project 11138 (Street
Resurfacing 2009/2010) for equipment purchase and installation as shown in the following table:

A RESOLUTION ACCEPTING A PROPOSAL FROM ECONOLITE CONTROL
PRODUCTS, INC. FOR THE PROCUREMENT OF TRAFFIC SIGNAL EQUIPMENT
IN THE AMOUNT OF $128,683.31, WAIVING COMPETITIVE BIDDING PURSUANT
TO SAN RAFAEL MUNICIPAL CODE SECTION 11.50.090(B), AND AUTHORIZING
THE PUBLIC WORKS DIRECTOR TO EXECUTE A PURCHASE AGREEMENT IN A
FORM APPROVED BY THE CITY ATTORNEY.
Whereas, the City of San Rafael uses Econolite Control Products, Inc. throughout the
City as a single system to operate and maintain; and
Whereas, Econolite Control Products, Inc's traffic signal equipment has been operating
in the City for over forty years, and results have been satisfactory and highly reliable; and
Whereas, Econolite Control Products, Inc. is the sole source of direct purchase of the
specified equipment, justifying the waiver of competitive bidding pursuant to San Rafael
Municipal Code Section 11.50.090(B); and
Whereas, City Public Works staff have identified the need to purchase additional traffic
signal equipment from Econolite Control Products, Inc., which has submitted a proposal to
provide such equipment for an amount not to exceed $128,683.31.
NOW THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF SAN RAFAEL that the proposal for traffic signal equipment provided by Econolite
Control Products, Inc. is accepted, competitive bidding is waived pursuant to San Rafael
Municipal Code Section 11.50.090(B), and the Public Works Director is authorized to enter into
a purchasing agreement with Econolite Control Products, Inc. in a form approved by the City
Attorney and in an amount not to exceed $128,683.31.

foregoing Resolution was duly and regularly introduced and adopted at a regular meeting of the
