BACKGROUND: Since 1985 the San Rafael Public Library and the Marin County Free Library have closely cooperated in providing literacy services to residents of San Rafael and Marin County through the Marin Literacy Program. The program includes basic adult literacy instruction as well as Family Literacy, Inmate Literacy and Workplace Literacy. The Marin Literacy Program also provides health and education services for parents and caregivers of children under age five through the project F.L.A.G.ship. ANALYSIS: In the attached agreement the County agrees to pay the City of San Rafael FORTY- EIGHT THOUSAND SEVEN HUNDRED AND EIGHTY DOLLARS ($48,780) for providing literacy services listed below, plus up to SEVENTEEN THOUSAND DOLLARS ($17,000) for'/ of the benefits cost for the Literacy Program Coordinator position which will be matched by the City of San Rafael, plus up to THIRTY-ONE THOUSAND DOLLARS ($31,000) for Y of the benefits for two regular Literacy staff positions, which will be partially matched (1/4 share) by the City of San Rafael with the remainder paid by grants, plus SIX THOUSAND DOLLARS ($6,000) for Families for Literacy ("FFL") services to families who reside in the Marin County Free Library ("MCFL") service area, provided MCFL receives the expected $10,000 grant for FFL from the California State Library.. The literacy services include but are not limited to the following: 1. Administration of the Marin Literacy Program and all of its components such as Adult Literacy, Families for Literacy, Inmate Literacy, and Workplace Literacy; 2. Training, matching and supervision of volunteer literacy tutors; 3. Continuing education and support of volunteer literacy tutors by publishing newsletters, providing in-service training opportunities, and conducting on-going support group programs; 4. Building and maintaining resource collections of instructional resources; 5. Providing information and resources to literacy program participants; 6. Providing clerical support as needed from the Marin Literacy Program San Rafael Office. FOR CITY CLERK ONLY File No.: Council Meeting: Disposition: SAN RAFAEL CITY COUNCIL AGENDA REPORT / Page: 2 FISCAL IMPACT: The County has agreed to make $54,780 in payments ($48,780 and $6,000) to the City for the various program costs under the Agreement, as well as payments up to $17,000 toward ''/z the cost of benefits for the Program Supervisor, and up to $31,000 toward % of the costs for the two other regular Literacy staff positions. Therefore, the only impact on the General Fund will be the City's obligation to pay the remaining cost of benefits for Literacy Program Coordinator and the two Literacy Staff positions, which is estimated to be $32,500. OPTIONS: Discontinue the Program, or direct staff to reduce the scope of the Program and re -negotiate the Agreement with the County. ACTION REQUIRED: Adopt resolution authorizing the Mayor and City Clerk to execute an agreement between the County of Marin and the City of San Rafael to provide literacy general services on behalf of the Marin County Free Library/San Rafael Public Library joint Marin Literacy Program. RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT BETWEEN THE COUNTY OF MARIN AND THE CITY OF SAN RAFAEL REGARDING THE MARIN LITERACY PROGRAM / GENERAL SERVICES (From 7/1/09 — 6/30/10) THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows: The MAYOR and CITY CLERK are authorized to execute, on behalf of the City of San Rafael, an AGREEMENT BETWEEN THE COUNTY OF MARIN AND THE CITY OF SAN RAFAEL regarding the Marin Literacy Program / General Services, a copy of which is attached hereto as Exhibit "A" and by this reference made part hereof. I, ESTHER BEIRNE, Clerk of the city of San Rafael, hereby certify that the foregoing Resolution was duly and regularly introduced and adopted at a regular meeting of the City Council of said City held on Monday, the 4th day of January, 2010 by the following vote, to wit: AYES: COUNCILMEMBERS: NOES: COUNCILMEMBERS: ABSENT: COUNCILMEMBERS: ESTHER BEIRNE, City Clerk AGREEMENT between the COUNTY OF MARIN and the CITY OF SAN RAFAEL This Agreement is made and entered into this day of 2010 in Marin County California, by and between the COUNTY OF MARIN by and through its Marin County Free Library, hereinafter referred to as "COUNTY" and the CITY OF SAN RAFAEL hereinafter referred to as "CITY". WITNESSETH In consideration of the mutual promises as hereinafter contained, the parties hereto agree as follows: 1. The CITY agrees to provide the COUNTY literacy services as described in Exhibit A, on behalf of the Marin County Free Library/San Rafael Public Library joint Marin Literacy Program ("Literacy Services"). These Literacy Services will be performed from the Literacy Office located at the San Rafael Public Library from July 1, 2009 through June 30, 2010. 2. The COUNTY agrees to pay the CITY for the rendering of aforesaid services: • FORTY- EIGHT THOUSAND SEVEN HUNDRED AND EIGHTY DOLLARS ($48,780) for general literacy services • Up to SEVENTEEN THOUSAND DOLLARS AND NO CENTS ($17,000) for '/2 of the Literacy Coordinator's benefits • Up to THIRTY-ONE THOUSAND DOLLARS ($31,000) for'/ of the benefits for two regular Literacy staff positions • SIX THOUSAND DOLLARS ($6,000) for Families for Literacy services to families who reside in the Marin County Free Library service area, provided MCFL receives the expected $10,000 grant for FFL from the California State Library 3. Invoices shall be submitted to COUNTY for payment of the compensation to CITY described in Section 2 above. Invoices may be submitted for two or more partial payments during the term of this Agreement, provided that the total compensation shall not exceed the amounts described in Section 2, and provided that the final invoice for the last payment shall be received by the COUNTY no later than the following date: June 1, 2010 4. Neither party shall discriminate against any qualified individual based on race, color, religion, nationality, sex, age or disability. 5. Either party shall have the right to terminate this Agreement at any time by giving notice in writing of such termination to the other party. CITY shall immediately cease rendering literacy services upon receipt of such written termination notice or upon giving such written termination notice to COUNTY and the following shall apply: COUNTY shall pay CITY a pro rata share of the contract fee, as set forth in Section 2, based on the services rendered by CITY prior to the date of termination; provided, however, that in no event shall any payment hereunder exceed ONE HUNDRED TWO THOUSAND SEVEN HUNDRED AND EIGHTY DOLLARS ($102,780) and further provided that COUNTY shall not in any manner be liable for lost profits which might have been made by CITY had CITY completed the services required by this Agreement. The foregoing is cumulative and does not affect any right or remedy that COUNTY may have in law or equity. 6. CITY shall defend, indemnify, and hold harmless COUNTY, its elected and appointed councils, boards, commissions, officers, agents, and employees from any liability for damage or claims for damage for any economic loss or personal injury, including death, as well as for property damage, which may arise from the intentional or negligent acts or omissions of CITY in the performance of services rendered under this Agreement by CITY. Literacy Services to be provided by CITY to COUNTY include, but are not limited to the following: 1. Administer the Joint Literacy Program that provides services to residents of Marin County Free Library service areas. 2. Seek grant opportunities for the Marin Literacy Program. 3. Manage grant funds and reports. 4. Train, match and supervise volunteer literacy tutors. 5. Provide continuing education and support of volunteer literacy tutors by publishing newsletters, providing in-service training opportunities, and conducting on-going support group programs. 6. Build and maintain resource collections of instructional resources. 7. Provide information and resources to literacy program participants. 8. Provide quarterly reports on the Marin Literacy Program to Marin County Free Library Administration, with narratives due when specified and statistics provided within the month following the end of each quarter. 9. Maintain a Families For Literacy (FFL) office and services at the South Novato Library with a staff presence there at least four hours per week. 10. Demonstrate, if requested to do so, that the Marin Literacy Program provides services to an appropriate percentage of residents of the Marin County Free Library service area. 11. Support the West Marin Literacy Program: • Share supervision of the West Marin Literacy Program with County Library Administration • Include the West Marin Coordinator in MLP Staff meetings • Include West Marin Literacy students in appropriate events • Keep West Marin Literacy Program staff informed about grant opportunities and State Library activities • Share MLP materials and resources with West Marin staff and tutors • Provide bilingual storytimes in Point Reyes B. The benefits payment for services of the regular -hire, full-time Program Director position will be limited '/z of the actual cost of benefits, up to $17,000. C. The benefits payment for services of two regular -hire positions in the Literacy program will be limited to '/2 the actual cost of benefits, up to a total of $31,000. D. Marin County Free Library expects to receive $10,000 from the California State Library for Families for Literacy (FFL) services grant in 2009/10. Of that amount, $6,000 is included in this contract for the purpose of augmenting FFL services to families in the Marin County Free Library services area. If MCFL does not receive the $10,000, the contract will be reduced by $6,000. Page 2 of 2
