Each period specified herein, beginning with the applicable Service Start Date(s) and ending with the applicable Service
End Date(s), is referred to as a "Contract Term" (or individually as "Contract Term I ", "Contract Term 2" etc., as
applicable).
This section applies only to Services licensed hereunder which are identified with an "EXPIRATION OPTION" of
"Automatic Renewal". This Order shall automatically renew for successive 12 -month renewal terms unless either party
notifies the other at least thirty (30) days prior to the expiration of the then current Contract Term. Any such notice
by Customer shall be submitted via the online form at www.dnb.com/AutoRenewalCancellation. The fees applicable to
an automatic renewal term shall be the same as the fees for the immediately preceding Contract Term unless D&B
notifies Customer of a change in writing at least ninety (90) days prior to the expiration of the then -current Contract
Term. This automatic renewal language does not apply to Trial, Proof of Concept, no -fee, Service Termination, or
orders with a total term of less than 12 months.

TERMS & CONDITIONS
This Order is placed by Customer with Dun & Bradstreet, Inc. ("D&B"), pursuant to the General Terms & Conditions
(hereinafter referred to as the "Governing Terms") available at:

The Services under this Order may only be used by Customer in the United States to support its U.S. business.
TERMS & CONDITIONS - D&B Optimizer for Marketing
DESCRIPTION OF SERVICES (as and to the extent applicable based on the selections made within the product
description). See Terms & Conditions for specifics.
100% HARD BOUNCE CONTACT REPLACEMENT GUARANTEE
D&B will replace contact credits for any contact sourced from the Service which has an undeliverable email address provided
that, no more than once a quarter, Customer submits the bounce report and list of email addresses to D&B at
https://support.dnb.com/ D&B will then credit Customer's account an equal number of credits. Credits for undeliverable
emails during the final three months of a particular Contract Term will only be carried over to the Contract Term
immediately following such Contract Term, if any.
Unused records at the end of each Contract Term are forfeited and may not be carried over to subsequent Contract Terms.
Base Target Data Subscription Package
The Base Target Data Subscription Package provides build -a -list functionality to deliver unique Contact and/or
Company data in the D&B Optimizer Base Layout. See APPENDIX: D&B OPTIMIZER FOR MARKETING - B for all
fields included. Add on data append options are available at an additional cost.
TARGET DATA PACKAGES (Base, Strategic & Platform)
For the duration of the D&B Optimizer for Marketing Target Data Packages, Customer shall be provided access to
Target within the D&B Optimizer for Marketing platform. Using this tool, Customer can search for Contact and
Company Records in the D&B database and download unique records up to the limit specified herein. A Contact
Record shall, at minimum, include the following data fields: Name (First and Last), Title, Company, Email Address,
Business Address, Phone number. Other data fields may be provided as part of the Contact Record, to the extent
available (e.g. website address, range of revenue, number of employees, SIC code). A Company record shall, at a
minimum include the following data fields: Company, D -U -N -S, Business Address, Employee Count Range, Industry and
Business Phone Number.
LICENSE
Customer is licensed to use the Information and/or Software solely for the (i) Purpose of Use, if any, provided herein
and/or (ii) in the Applications, if any, provided herein which may be commercially available or Customer developed.
PURPOSE OF USE
Sales & Marketing licensed use is limited to lead generation, mailing lists, segmentation analysis, sales channel
management, campaign management, sales force automation and call center management, customer acquisition and
order entry, or as otherwise limited in the Product Description. Limited Access Database Records are for analysis only
and not for any direct marketing use.
