AGREEMENT BETWEEN THE CITY OF SAN RAFAEL AND THE SAN RAFAEL
GOLDENAIRES SENIOR CITIZENS ORGANIZATION
THIS AMENDMENT to the Agreement between the City of San Rafael and the San Rafael
Goldenaires Senior Citizens Organization dated January 1, 2019 (this "Amendment") is entered into this 151
day of January 2020, by and between the CITY OF SAN RAFAEL (hereinafter "CITY"), and SAN
RAFAEL GOLDENAIRES SENIOR CITIZENS ORGANIZATION (hereinafter "GOLDENAIRES").
RECITALS
WHEREAS, CITY and GOLDENAIRES have entered into the "Agreement between the City of
San Rafael and the San Rafael Goldenaires Senior Citizens Organization" dated January 1, 2019 (the
"Agreement") pursuant to which GOLDENAIRES have provided the services described in Section 3 and
Exhibit A of the Agreement, for a term commencing January 1, 2019 and terminating on December 31,
2019; and
WHEREAS, CITY and GOLDENAIRES desire to renew the Agreement for another one-year
term, as more fully set forth below;
AGREEMENT
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which
is hereby acknowledged, CITY and GOLDENAIRES hereby agree that the Agreement shall be renewed
for another one-year period from January 1, 2020 through December 31, 2020.
'Phis AMENDMENT shall include the same terms and conditions as originally set forth in the
Agreement, except Section 4 Compensation shall be amended to include the following:
Should the CITY facilities be rendered unusable or otherwise unavailable for four (4) or more
consecutive weeks due to declared states of emergency and/or circumstances beyond the CITY'S control,
including but not limited to flooding, (ire, natural disaster, power outages, public health pandemics, criminal
acts or acts of war or terrorism, GOLDENAIRES shall only be responsible for paying half of the original
compensation amount, or 2l % of a Program Coordinator salary and benefits, for the duration of the facility
closure.
IN WITNESS HEREOF, the parties hereto have executed this Amendment as of the date and year
first set forth above.
