SUBJECT: Resolution Appointing the Business Improvement District (BID) Board of Directors.
RECOMMENDATION: Adopt the proposed resolution.
BACKGROUND: The BID Board is an advisory board to the San Rafael City Council regarding the
recommended expenditures for the BID assessment collected each year. The City Council therefore takes
formal action to appoint the Board members, including the BID Director and the Economic Development
Director as non voting members.
ANALYSIS:
The BID Board term is 2 years, and each year, half of the members are up for appointment. The
Executive Director circulated a slate of potential Board Members for the 2011-2013 term, as is required in
the BID by-laws. The following BID members have been selected as the Board of Directors:

FISCAL IMPACT: There is no fiscal impact to the recommended actions.
OPTIONS:
• Accept the members selected by the BID member businesses
• Reject the list and request a new selection
ACTION REQUIRED: Adopt the attached resolution and accept the BID Board of Directors.

RESOLUTION APPOINTING A BUSINESS IMPROVEMENT DISTRICT (BID)
BOARD OF DIRECTORS
WHEREAS, the Downtown Business Improvement District (BID) has been established
and requires a Board of Directors; and
WHEREAS, the City Council wishes to appoint business community members to the BID
Board of Directors:
NOW, THEREFORE, BE IT RESOLVED that the following shall be appointed to the BID
Board with 2 year terms expiring June 30, 2013:
