TO AGREEMENT FOR PROFESSIONAL ANALYST SERVICES
This First Amendment to Agreement for Professional Analyst Services is made and
entered into this n day of , 2021, by and between the CITY OF SAN
RAFAEL (hereinafter "CITY"), and ANDREW HENING LLC.
RECITALS
WHEREAS, on June 17, 2020, CITY entered into an Agreement for Professional Analyst
Services with Andrew Hening to oversee various CITY projects, Including projects related to
persons experiencing homelessness In the community, in an amount not to exceed $48,000 (the
"Agreement"); and
WHEREAS, Andrew Hening has subsequently converted his business into the form of a
limited liability company, and he now conducts business as Andrew Hening LLC (hereinafter
"CONSULTANT'); and
WHEREAS, CITY requires additional professional analyst services from CONSULTANT
during the term of the Agreement; and
WHEREAS, the CONSULTANT is willing to provide such services.
AMENDMENT TO AGREEMENT
NOW, THEREFORE, the parties hereby agree to amend the Agreement as follows:
1. Section 4 of the Agreement, entitled "COMPENSATION" is hereby amended to
change the total not -to -exceed amount under the Agreement to $72,000.
2. Section 11 of the Agreement, entitled "INDEMNIFICATION" is hereby deleted in
its entirety.
3. Except as specifically amended herein, all of the other provisions, terms and
obligations of the Agreement between the parties shall remain in full force and
effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment on the day,
month, and year first above written.
