This AMENDMENT NO. 3 TO LICENSE AGREEMENT ("Amendment") is entered into to be effective
retroactively as of June 1, 2021, (the "Effective Date"), by and between MGP XI NORTHGATE, LLC, a
Delaware limited liability company ("MGP"), and CITY OF SAN RAFAEL, a California charter city
("Licensee").
MGP and Licensee entered into that certain License Agreement dated June 7, 2018 ("License"), as
amended. MGP and Licensee now desire to amend and modify the License in certain respects. Therefore,
in consideration of the mutual covenants contained herein, MGP and Licensee agree as follows:
All capitalized terms used in this Amendment but not defined herein shall have the meanings set forth in
the License.
TERM:
Commencement: June 1, 2021
Termination Date: May 31, 2022
BASE LICENSE FEE:
Good and valuable consideration, the receipt and sufficiency

1. Effect of Amendment. Except as provided herein, all terms, covenants and conditions of the
License remain unmodified and in full force and effect throughout the term of the License. The License,
as amended hereby, constitutes the entire agreement of the parties and no further modification of the
License shall be binding and effective unless evidenced by an agreement, in writing, signed by both MGP
and Licensee.
IN WITNESS WHEREOF, MGP and Licensee have executed this Amendment on the respective
dates written below, but the Effective Date of this Amendment shall be as of the date first set forth above.
