RECOMMENDATION: Staff recommends that the City Council adopt the resolution awarding the contract to Ghilotti Construction Company, Inc. in the amount of $718,733.08. BACKGROUND: As part of the routine traffic monitoring, intersection analysis, signal inspection and responding to requests from citizens, staff has analyzed the above intersection for a traffic signal modification and intersection improvements consisting of extension of the eastbound and westbound left turn pockets at the intersection, installation of a new westbound right turn pocket, various utility relocations, AC pavement dig out repairs and overlay, modifications to the existing drainage system, signing, striping and street lighting modifications, various ADA enhancements, the installation of landscaping and irrigation facilities and other corresponding work. The intersection improvements alternatives were developed and presented to stake holders such Montecito Area Residents Association (MARA), Whole Foods, and Montecito Shopping Center representatives, as well as many public hearings pertaining to General Plan 2020, and private developments such as Village at Lock Lomond Marina in the past four years. A preferred alternative was selected. On June 16, 2003 the City Council adopted Resolution number 11340 authorizing the Public Works Director to enter into an agreement with Kimley-Horn & Associates, Inc. to design the above mentioned intersection improvements. On August 6, 2007, Resolution number 12328 was adopted, amending the agreement to provide additional utility relocation design to accommodate improvements to the fire station driveways which will ultimately increase the operation of Fire Station Number Two. Design of the landscaping and irrigation system was completed by City staff. Final design of the project was completed by Kimley-Horn and Associates, Inc. and City staff in March of 2009. FOR CITY CLERK ONLY File No.: 14-1-(no8 Council Meeting: L/ l7!gjog Disposition: %?6SQ1- rllo#%.)-# 0-1,7z SAN RAFAEL CITY COUNCIL AGENDA REPORT / Page: 2 In order to construct the ADA compliant driveway on the west side of Union Street accessing the property at 340 Third Street (APN 014-094-21) a section of the existing asphalt pavement adjacent to the sidewalk will need to be reconstructed to match existing and proposed grades. This portion of the work is located on the property of 340 Third Street. Staff has contacted the owners of 340 Third Street for permission to enter and reconstruct the driveway and approach that is located within their property. The owners are in support of the project and have signed an agreement to allow the City to perform the reconstruction. The project was advertised in accordance with San Rafael's Municipal code and policies on March 20, 2009 and bids were opened on April 15, 2009 at 2:30 PM. The low bid of $718,733.08 was $482,975.92 below the engineer's estimate of $1,201,709.00. The bid amount falls within the City of San Rafael's project budget. Please refer to the attached bid schedule for itemized breakdown of costs. ANALYSIS: The Engineer's Estimate was $1,201,709.00. The bid from Ghilotti Construction Company, Inc.. was $718,733.08. The bid total submitted by Ghilotti Construciton Company, Inc. was listed as $0.08 less than the actual sum of the items. The total has been corrected and the contractor has been notified. FISCAL IMPACT: To date, a total of $100,289.41 has been charged to this project for the design and reproduction of the plans and specifications. The remaining project costs include the purchase of the traffic signal equipment, construction support services, construction inspection, utilities relocations, site testing, temporary sleeping quarters rental, work to be performed by Ghilotti Construction Company, Inc., and a 15% construction contingency, resulting in a remaining project cost of $1,107,640.30. (hereinafter called Contractor). Witnesseth, that the City and the Contractor, for the considerations hereinafter named, agree as follows: I - Scope of the Work The Contractor hereby agrees to furnish all of the materials and all of the equipment and labor necessary, and to perform all of the work shown on the plans and described in the specifications for the project entitled: Third Street and Union Street Improvement Project, Project No. 11025, all in accordance with the requirements and provisions of the Contract Documents as defined in the General Conditions which are hereby made a part of this Agreement. The liability insurance provided to City by Contractor under this contract shall be primary and excess of any other insurance available to the City. II - Time of Completion (a) The work to be performed under this Contract shall be commenced within FIVE (5) WORKING DAYS after the date of written notice by the City to the Contractor to proceed. (b) "Notice to Proceed" will signify the beginning of the lead period to obtain the equipment. (c) All work shall be completed within 90 WORKING DAYS after the expiration of the equipment lead period, and with such extensions of time as are provided for in the General Conditions. (d) This project is anticipated to commence on June 15, 2009, after the lead period, and the project completed by October 20, 2009. III - Liquidated Damages It is agreed that, if all the work required by the contract is not finished or completed within the number of working days as set forth in the contract, damage will be sustained by the City, and that it is and will be impracticable and extremely difficult to ascertain and determine the actual damage which the City will sustain in the event of and by reason of such delay; and it is therefore agreed that the Contractor will pay to the City, the sum of $1,000 for each and every working day's delay in finishing the work in excess of the number of working days prescribed above; and the Contractor agrees to pay said liquidated damages herein provided for, and further agrees that the City may deduct the amount thereof from any moneys due or that may become due the Contractor under the contract. 1V - The Contract Sum The City shall pay to the Contractor for the performance of the Contract the amounts determined for the total number of each of the units of work in the following schedule completed at the unit price stated. The number of units contained in this schedule is approximate only, and the final payment shall be made for the actual number of units that are incorporated in or made necessary by the work covered by the Contract. (b) On not later than the 15th day of the month, the City shall, after deducting previous payments made, pay to the Contractor 90% of the amount of the estimate as approved by the Public Works Department. (c) Final payment of all moneys due shall be made within 15 days after the expiration of 35 days following the filing of the notice of completion and acceptance of the work by the Public Works Department. (d) The Contractor may elect to receive 100% of payments due under the contract from time to time, without retention of any portion of the payment by the public agency, by depositing securities of equivalent value with the public agency in accordance with the provisions of Section 4590 of the Government Code. Such securities, if deposited by the Contracor, shall be valued by the City's Finance Director, whose decision on valuation of the securities shall be final. VI - Acceptance and Final Payment (a) Upon receipt of written notice that the work is ready for final inspection and acceptance, the Engineer shall within 5 days make such inspection, and when he finds the work acceptable under the Contract and the Contract fully performed, he will promptly issue a Notice of Completion, over his own signature, stating that the work required by this Contract has been completed and is accepted by him under the terms and conditions thereof, and the entire balance found to be due the Contractor, including the retained percentage, shall be paid to the Contractor by the City within 15 days after the expiration of 35 days following the date of recordation of said Notice of Completion. Page 3 (b) Before final payment is due the Contractor shall submit evidence satisfactory to the Engineer that all payrolls, material bills, and other indebtedness connected with work have been paid, except that in case of disputed indebtedness or liens the Contractor may submit in lieu of evidence of payment a surety bond satisfactory to the City guaranteeing payment of all such disputed amounts when adjudicated in cases where such payment has not already been guaranteed by surety bond. (c) The Contractor shall provide a "Defective Material and Workmanship Bond" for 50% of the Contract Price, before the final payment will be made. (d) The making and acceptance of the final payment shall constitute a waiver of all claims by the City, other than those arising from any of the following: (1) unsettled liens; (2) faulty work appearing within 12 months after final payment; (3) requirements of the specifications; or (4) manufacturers' guarantees. It shall also constitute a waiver of all claims by the Contractor, except those previously made and still unsettled. (e) If after the work has been substantially completed, full completion thereof is materially delayed through no fault of the Contractor, and the Engineer so certifies, the City shall, upon certificate of the Engineer, and without terminating the Contract, make payment of the balance due for that portion of the work fully completed and accepted. Such payment shall be made under the terms and conditions governing final payment, except that it shall not constitute a waiver of claims.
