BACKGROUND: The City of San Rafael maintains over 4,400 street lights, 86 traffic signals, 19 city owned buildings, various pathways, twinkle lights, 12 storm pump stations, and additional lighting within the 10 public parks. Since the City of San Rafael does not have electricians on staff, the City from time to time has entered into contracts with independent contractors for on-call and other electrical maintenance services as required. The City of San Rafael currently has two executed contracts with Don Caramagno, dba DC Electric to perform various electrical services: Contract for On -Call Electrical Maintenance, dated November 5 This contract is for a maximum of $150,000 per year to perform maintenance and various other electrical services on City faces, including twelve storm pump stations, nineteen City owned buildings, ten public parks, and the City twinkle lights.. This contract is for $126,969 per year for the routine traff ic signal maintenance program and includes quarterly, semi-annual and annual inspections, preventive maintenance and repairs. This contract is also for the repair of all unanticipated items relating to traffic signals such as responding to emergency repair calls, knockdowns and troubleshooting. 'I"W 11111i Diisposiffilon: e 6!:.;V SAN RAFAEL CITY COUNCIL AGENDA REPORT / Page: 2 ANALYSIS: As indicted by the attached Assignment of Contracts provided to the City, on November 1, 2013, Don Caramagno dba DC Electric, transferred ® assets of his business, including the two City contracts, to his new corporation, DC Electric Group, of which he is the sole shareholder. Pursuant to Section 4.08 of the General Condons incorporated into the two contracts with the City, the contracts may be assigned with consent of the City Council. FISCAL IMPACT: There will be no new fiscal impact. The services will be paid for based on the original contract approve4 budgets and funding sources. OPTIONS: Adopt Resolution consenting to the assignment of the contracts to DC Electric Group, Inc., or reject the Resolution consenting to the assignment. City staff is unaware of any reason why the City Council should not consent to the contract assignment, since only the organizational form of the busines's has changed in the assignment and the owner of the business continues to be Don Caramagno. ACTION REQUIRED: Adopt Resolution. BEIRNE, City Clerl N This Assignment of Contracts is entered into by and between Don Caramagno individually and dba DC ELECTRIC and DC ELECTRIC GROUP, INC. (hereinafter referred t as "The Corporation") with reference to the following considerations: A. Prior to November 1, 2013, Don Caramagno was operating an electrical contracting business known as DC ELECTRIC, as a sole proprietor. B. The Articles of Incorporation for DC ELECTRIC GROUP, INC. were filed on or about July 31, 2013. C. The assets of DC ELECTRIC were transferred to The Corporation effective November L 2013. Such assets included contracts for work in progress or work to be undertaken on or after November 1, 2013. 1. Assignment of Contracts. It is hereby confirmed that all contracts entered into by and between the City of San Rafael and Don Caramagno individually and dba DC ELECTRIC were transferred to The Corporation effective as of November 1, 2013. 2.
